Terms of Service
These Terms of Service ("Terms") constitute a legally binding agreement between you (whether an individual or an entity) and HajjPath ("we", "our", or "us") governing your access to and use of the HajjPath platform, including all associated services, features, and content (collectively, the "Service"). Please read these Terms carefully before using the Service.
1. Acceptance of Terms
By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you must not access or use the Service.
2. Description of Service
HajjPath is a multi-tenant software-as-a-service (SaaS) platform designed for Hajj management across countries, agencies, and field teams. The Service enables:
- National Hajj authorities to manage quotas, licensing, and regulatory compliance
- Licensed tour operators to manage pilgrim registrations, travel logistics, and payments
- Collaborative workflows between government bodies, operators, and support staff
- Reporting, analytics, and data exchange with relevant Hajj authorities where required
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will make commercially reasonable efforts to notify you of material changes in advance.
3. Account Registration & Responsibilities
To access the Service, you must register for an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain the security and confidentiality of your account credentials
- Notify us immediately of any unauthorized access or security breach
- Accept responsibility for all activities that occur under your account
We reserve the right to suspend or terminate accounts that violate these Terms or are used for fraudulent or unauthorized purposes.
4. Subscription Plans & Payment Terms
The Service is offered through various subscription plans as described on our pricing page. By selecting a plan, you agree to the following:
- Subscription fees are billed in advance on a monthly or annual basis, depending on your chosen plan
- All fees are exclusive of applicable taxes, which will be added where required by law
- You authorize us to charge your designated payment method for recurring subscription fees
- Subscriptions automatically renew unless cancelled before the end of the current billing period
- Refunds are handled in accordance with the applicable plan terms and governing law
We reserve the right to modify pricing with at least 30 days' written notice before your next billing cycle. Continued use of the Service after a price change constitutes acceptance of the new pricing.
5. Data Ownership
You retain full ownership of all data you input into the Service ("Customer Data"), including pilgrim records, organizational data, and any documents you upload. We do not claim any intellectual property rights over your Customer Data.
You grant us a limited, non-exclusive licence to:
- Process, store, and transmit your Customer Data solely to provide and improve the Service
- Create anonymized, aggregated datasets that cannot identify individual users or pilgrims for analytics and product improvement
Upon termination of your account, you may request an export of your Customer Data. We will make your data available for export for 90 days following termination, after which it will be securely deleted from our systems.
6. Acceptable Use Policy
You agree not to use the Service to:
- Violate any applicable local, national, or international law or regulation
- Upload or transmit malicious code, viruses, or harmful content
- Attempt to gain unauthorized access to any part of the Service or its infrastructure
- Interfere with or disrupt the integrity or performance of the Service
- Scrape, harvest, or collect data from the Service by automated means without authorization
- Impersonate any person or entity, or misrepresent your affiliation
- Store or process data unrelated to Hajj or Umrah management operations
7. Intellectual Property
The Service, including its design, source code, features, documentation, branding, and all related intellectual property, is and remains the exclusive property of HajjPath and its licensors. These Terms do not grant you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.
You may not copy, modify, distribute, reverse-engineer, or create derivative works of any part of the Service without our prior written consent.
8. Service Availability
Availability targets, maintenance windows, onboarding scope, and any service credits are defined in the applicable order form, subscription plan, or customer agreement.
Where no separate service commitment applies, we will use commercially reasonable efforts to keep the Service available, secure, and maintained, subject to scheduled maintenance, third-party dependencies, and events beyond our reasonable control.
9. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
- In no event shall HajjPath, its directors, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service.
- Our total aggregate liability for all claims arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.
10. Termination
Either party may terminate these Terms at any time. You may cancel your subscription and close your account through the platform's settings. We may terminate or suspend your access if:
- You materially breach these Terms and fail to remedy the breach within 14 days of notice
- Your use of the Service poses a security risk or legal liability
- Your account remains inactive for more than 12 consecutive months
- Required by law or a government authority
Upon termination, your right to use the Service ceases immediately. Sections relating to data ownership, limitation of liability, governing law, and dispute resolution survive termination.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of laws provisions.
12. Dispute Resolution
In the event of any dispute arising from or relating to these Terms or the Service, the parties agree to the following process:
- Informal Resolution: The parties will first attempt to resolve the dispute informally through good-faith negotiation for a period of 30 days.
- Mediation: If informal resolution fails, the dispute shall be submitted to mediation under the rules of the Lagos Court of Arbitration.
- Arbitration: If mediation is unsuccessful, the dispute shall be resolved by binding arbitration in Lagos, Nigeria, conducted in English.
Nothing in this section prevents either party from seeking injunctive or other equitable relief from a court of competent jurisdiction where necessary to protect its rights.
